MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding will regulate joint research which will be carried out between the Australian National University (ANU) and the Institute for New Generation Computer Technology (ICOT). The purpose of the joint research will be to advance scientific knowledge and technology in the area of computer science and computer application, through cooperation between ANU and ICOT in carrying out research on knowledge information processing technology and parallel processing technology, both based upon logic programming technology, and on computer application fields that apply these technologies. Initially this joint research will specifically focus on parallel automated reasoning.


Article 1.

ANU and ICOT both recognize that knowledge information processing technology and parallel processing technology, both based upon logic programming technology, are important for the development of computer science, and further that applying these technologies to various computer application areas would contribute to the progress of computer applications. ANU and ICOT will cooperate in research on technologies that apply logic programming and parallel processing in the application area that will be decided through consultation between the staff from both parties who are responsible for implementation and who are named in Article 5 below.

Article 2.

As the research environment for this joint research, the sequential and parallel logic programming environment that has been developed by ICOT is indispensable and, for this reason, ICOT will loan, free of charge, one or more units of personal sequential inference machine (PSI), and the necessary software and data to ANU. All documents and information that are necessary for the use of these machines and software will also be provided to ANU by ICOT free of charge. ICOT assumes the risk of loss or of damage to such machines except to the extent such loss or damage is caused by the negligence of ANU on its premises.

ANU shall treat these PSIs as equipment for experimental aims that are not commercially available in Australia. ANU will not hold either ICOT or the manufacturer responsible for any malfunction or accident that may arise from their use, or for any inconvenience or damage that may result from bugs in the software or other cause.

Article 3.

ICOT will permit the use, free of charge, of the parallel inference machine set up at ICOT (PIM and other machines) by the researchers of ANU and/or the researchers designated by ANU who are taking part in this joint research.

ANU will provide to ICOT bug reports and other evaluation information pertinent to the improvement of the hardware and software on the machines supplied by ICOT to ANU.

Each party will permit researchers of the other side and/or researchers designated by the other side who take part in this joint research to use these machines, software and data loaned or provided by the one side. Each party will respect copyrights on material supplied by the other. No proprietary (trade secret) material will be furnished by each side.

Article 4.

It is intended in principle that research results obtained through this joint research shall be exchanged between both parties and published in the scientific and engineering literature in order to contribute to the progress of computer science.

Article 5.

To implement this memorandum, the staff from both parties who are responsible for implementation shall consult one another to agree upon proper implementation. The responsible staff of each party may be changed by notifying one another in writing.

Article 6.

Any matter or question arising out of or relating to this Memorandum of Understanding shall be settled in good faith by mutual agreement between ANU and ICOT.

Article 7.

Joint research based upon this Memorandum of Understanding shall be regarded as having started on September 25, 1992. Either ANU or ICOT may terminate this Memorandum of Understanding six months after sending written notification to the other party.

Article 8.

This Memorandum of Understanding may be amended through mutual written agreement of ANU and ICOT.
